Terms of Service

Effective date: 11 July 2026

These terms are an agreement between you and Yervand Abrahamyan, Armenia ("Memohopper", "we", "us"), governing your use of the Memohopper websites, application, API, and MCP server (together, the "Service"). By creating an account or using the Service you accept these terms.

1. The Service

Memohopper is an AI-native knowledge tool: it turns what you capture into structured, connected knowledge pages ("Contexts") on a navigable graph, with search, chat, and AI features over your own content, usable by you and — optionally — by AI agents you connect.

2. Your account

You must be 16 or older and provide accurate account information. You are responsible for activity under your account, including activity by AI agents you connect through personal access tokens. Keep your credentials and tokens secret; tell us promptly at support@memohopper.com if you suspect unauthorized access.

3. Your content

You own your content. Everything you store in Memohopper — documents, memos, Contexts, chats — remains yours. You grant us a limited license to host, store, index, process, and transmit that content solely to operate the Service, including sending the relevant parts to our AI and search providers when you invoke AI features. We claim no other rights, we do not sell your content, and we do not use it to train models of our own. You are responsible for having the rights to the content you import (including content synced from connected sources).

4. AI features and outputs

AI-generated content can be wrong, incomplete, or misleading despite grounding and citations. Verify important information before relying on it. AI outputs are provided as-is; to the extent permitted by law, you may use outputs generated in your workspace freely, and we claim no ownership of them. The Service is not a substitute for professional (legal, medical, financial) advice.

5. Acceptable use

You agree not to:

  • use the Service for unlawful content or purposes, or to infringe others' rights;
  • attempt to breach security, access other users' data, or probe the isolation between accounts;
  • circumvent plan limits, fair-use metering, or rate limits (including via multiple free accounts or automated abuse);
  • resell or white-label the Service without our written agreement;
  • use the Service to develop a competing dataset by systematic extraction.

We may suspend or terminate accounts that violate these rules, with notice where practicable.

6. Plans, billing, and fair use

Paid plans are sold through Paddle, our merchant of record — your purchase is also subject to Paddle's Buyer Terms. Prices and plan contents are shown at memohopper.com and may change with at least 14 days' notice (changes apply from your next billing period). Subscriptions renew automatically until cancelled; you can cancel any time and keep access until the end of the paid period.

AI usage on every plan is governed by a fair-use allowance that refills continuously. It is designed so that normal human and agent use never hits a wall; we may throttle or degrade (never silently bill) usage that exceeds it, and we may enforce hard caps against runaway automation. "Generous" never means literally unlimited.

7. Refunds

See our Refund Policy. In short: full refund within 14 days of your first purchase, and statutory consumer rights are always unaffected.

8. Connected services

Connecting a third-party source (Google Drive, Gmail, Notion, Todoist, Jira, and others) is optional and governed by that provider's terms. You authorize us to access the scoped data to provide the Service and can disconnect at any time. We are not responsible for third-party services.

9. Availability and changes to the Service

We work to keep the Service available and your data safe, but the Service is provided without an uptime guarantee. We may add, change, or remove features; if we discontinue the Service or a material part of it, we will give you at least 30 days' notice and a way to export your content.

10. Termination

You may delete your account at any time (see the Privacy Policy for how). We may terminate or suspend your access for material breach of these terms, with notice where practicable. On termination your content is deleted per the Privacy Policy's retention terms; sections that by their nature survive (3, 11, 12, 13) survive.

11. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of AI outputs, and non-infringement — to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, or goodwill. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim (or €50 if you paid nothing). Nothing in these terms limits liability that cannot be limited by law, including for willful misconduct or gross negligence.

13. Governing law

These terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law rules; mandatory consumer-protection law of your country of residence is unaffected. Disputes go to the courts of Yerevan, Armenia, unless mandatory law gives you a different venue.

14. Changes to these terms

We may update these terms; material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after that date is acceptance.
